IIRIS Consulting has acquired publicly listed fintech company Dion Global Solutions, marking a significant step in its expansion into AI-powered financial technology. The acquisition gives IIRIS access to Dion’s customer base of more than 250 banks, brokers and wealth managers while providing a listed platform to accelerate the rollout of its IntelliFuture suite of AI-enabled products.

The acquisition follows the approval of IIRIS’ resolution plan by the National Company Law Tribunal (NCLT) on July 21.

AI-powered risk management meets established fintech infrastructure

The deal combines IIRIS’ expertise in digitisation, technology-led risk management and knowledge process outsourcing with Dion Global’s long-standing fintech platforms.

Dion has been serving financial institutions for over three decades, with customers including HDFC Bank, Canara Bank, Sharekhan, JM Financial, IIFL, Indiabulls Ventures, Equitas Small Finance Bank and several other financial institutions.

Under the approved resolution plan, valued at Rs. 802.93 lakh, IIRIS has infused fresh capital into Dion by subscribing to 50 lakh equity shares. The company also plans to invest further in Dion’s technology, workforce and product roadmap.

According to IIRIS, the combined entity will offer financial institutions an integrated technology stack covering transaction infrastructure, fraud intelligence, compliance and risk management.

IntelliFuture AI suite takes centre stage

A key objective behind the acquisition is expanding the reach of IIRIS’ IntelliFuture portfolio.

The AI-powered platform includes solutions for fraud classification, criminal case tracking, asset tracing, audit automation, consent management under the Digital Personal Data Protection (DPDP) framework, enterprise risk dashboards and digital record management.

With Dion’s platforms already deployed across hundreds of financial institutions, IIRIS expects these AI solutions to become more accessible to banks, brokers and wealth managers.

Expanding beyond India

The acquisition also strengthens IIRIS’ international ambitions.

The company currently operates across India, the Middle East, Europe and Asia. It now plans to introduce Dion’s fintech platforms into these markets while continuing to develop next-generation AI products for financial institutions.
